Vesana License Agreement

Version 1.0 · Effective date: 8 November 2026

1. Parties

1.1 This agreement is concluded between Lukas Griesser, Tisens 26, 39040 Kastelruth (BZ), Italy (“Licensor”), and the natural person or legal entity that installs or uses Vesana (“Licensee”).

1.2 A person accepting this agreement on behalf of a legal entity confirms that they are authorised to bind it.

2. Definitions

  • Software: the Vesana server, agent, collector, active collector, installer, updates and documentation.
  • Edition: Community, Pro, Business or Enterprise, as described at vesana.org/pricing at the time of order.
  • Host: each device or target created as a host in the Software, regardless of the number of checks. Copied hosts and hosts restored from the trash count; hosts in the trash do not.
  • Tenant: a separated client area within one Vesana instance.
  • Licence key: the key that determines the Edition, its Host and Tenant limits and its Update period.
  • Production instance: a Vesana installation used to monitor live systems. Installations used only for testing or staging are not Production instances.
  • Update period: the yearly period during which the Licensee of a paid Edition receives updates and support.
  • Subscription: a paid Edition with a running Update period.
  • Customer: a third party for whom the Licensee operates monitoring as part of its own IT services.
  • Business user: a person acting for purposes relating to their trade, business, craft or profession.
  • Consumer: a natural person acting outside such purposes.

3. Acceptance

3.1 The Licensee accepts this agreement by confirming it in the setup wizard or, for automated installations, by setting the documented acceptance parameter. The Software records the accepted version, the time and the accepting user.

3.2 If you do not accept this agreement, do not install or use the Software.

4. Licence grant

4.1 The Licensor grants the Licensee a perpetual, non-exclusive, non-transferable, non-sublicensable right to install and use the Software on infrastructure under the Licensee’s control, within the Host and Tenant limits of its Edition. For paid Editions, the right covers all versions released up to the end of the last Update period. Each Licence key can be activated on one instance at a time. Test and staging installations can use the Community Edition.

4.2 Commercial use is permitted, including monitoring for Customers under section 6.

4.3 The Software is licensed, not sold. All rights in the Software, its documentation and the Vesana name and logo remain with the Licensor. This agreement grants no ownership rights.

4.4 The Software is intended for monitoring servers, network devices and services. It must not be used to monitor the behaviour or performance of employees.

4.5 Licence keys for paid Editions must be activated once. Activation binds the Licence key to the Licensee’s instance; afterwards the Software verifies the licence offline. The Licensee can move an activation to another instance through the customer portal. For networks without internet access, the Licensor provides offline activation.

5. Editions and limits

5.1 The Community Edition is free of charge, limited to 25 Hosts and 1 Tenant, includes every feature, is perpetual and available to Business users and Consumers. It requires no account and no Licence key.

5.2 Paid Editions are perpetual licences with a yearly Update period. They include every feature and unlimited Tenants, have the Host limit stated in the Licence key and are available only to Business users (section 8).

5.3 The Software enforces these limits technically. The Licensee shall not circumvent them.

5.4 The Licensor may change the Community Edition limits for future versions. Versions already installed keep the limits that applied when they were accepted.

5.5 Each organisation may operate one Production instance of the Community Edition. Splitting one organisation’s monitoring across several Community instances to avoid the limits of section 5.1 is not permitted.

5.6 If an instance exceeds the Host or Tenant limits that apply to it (for example because a Licence key was removed or revoked, a version is run that was released after the Update period, or a smaller Edition was licensed), no data is deleted and new Hosts and Tenants cannot be added. The Software warns the Licensee, including through its configured notification channels. After 14 days, the Hosts above the limit are paused and no longer monitored. During those 14 days, the Licensee chooses which Hosts are paused; otherwise the most recently created ones are. Paused Hosts resume immediately once a valid licence covers them.

6. Use for Customers (MSP use)

6.1 The Licensee may operate the Software to monitor Customers’ systems and give Customers access to dashboards, status pages, reports and user accounts within the Licensee’s instance.

6.2 Customers do not receive a licence of their own. The Licensee is responsible for its Customers’ use as for its own and ensures that Customers comply with section 7.

6.3 Offering the Software as a standalone hosted service to persons who are not Customers of the Licensee’s own IT services (for example a public “Vesana hosting” offer) requires a separate written agreement with the Licensor.

7. Restrictions

The Licensee shall not:

  1. copy the Software, except for installation, backup and as required for its operation;
  2. modify, decompile, disassemble or reverse engineer the Software, except where mandatory law permits it (in particular Art. 64-quater of the Italian Copyright Law and Art. 6 of Directive 2009/24/EC);
  3. circumvent, disable or manipulate licence checks, Host and Tenant limits or the Update period;
  4. sell, rent, lend, sublicense or otherwise provide the Software to third parties, except to its own employees and as permitted in section 6;
  5. pass on its Licence key to third parties;
  6. use the Software as a basis for developing a competing product;
  7. remove or alter copyright or licence notices;
  8. use the Software in breach of applicable law.

8. Paid Editions

8.1 Paid Editions are offered only to Business users. By ordering, the Licensee confirms that it acts as a Business user.

8.2 Paid Editions are sold for yearly Update periods only. Prices are those published at vesana.org/pricing at the time of order, net of VAT.

8.3 The Update period renews yearly unless cancelled before the end of the current period. Cancellation is possible by email to hello@vesana.org or through the Software.

8.4 Invoices are payable within 14 days.

8.5 When the Update period ends, the Licensee keeps the right to use all versions released up to that date, within the Host and Tenant limits of its Edition. It receives no further updates or support. A version released after the end of the Update period is not covered by the Licence key; running it is subject to section 5.6. A renewal after a lapse starts a new Update period at the then-current yearly price.

8.6 Special conditions agreed in writing (for example the Founding Partner Program) take precedence over this section.

9. Fairness commitments

The following commitments are binding obligations of the Licensor towards Licensees of a paid Edition.

9.1 Your licence never expires. The licence under section 4.1 remains valid after the Update period ends. It can only be terminated for a breach of section 7.

9.2 Price protection. As long as the Licensee renews without interruption, prices of existing Subscriptions increase at most once per year, by no more than the change in the ISTAT consumer price index (FOI, excluding tobacco) over the preceding 12 months and never by more than 5 %. Increases are announced at least 90 days in advance. The Licensee may cancel with effect from the date of the increase.

9.3 No feature clawback. Features included in the Licensee’s Edition at the start of its Subscription are not removed from that Edition or moved to a higher Edition for that Licensee during its Subscription. Removal for security or legal reasons remains possible, with an equivalent replacement where reasonable.

9.4 Your data stays yours. Monitoring data is stored in the Licensee’s own database on its own infrastructure. The Licensor provides a configuration export per Tenant in a documented format.

9.5 Source code release. If the Licensor publishes no new version for 12 consecutive months and the Software is not continued by a successor, Licensees of a paid Edition receive the source code of the last version. They may use, modify and build it solely for their own operation and for their Customers under section 6, without redistribution.

9.6 These commitments survive a transfer of this agreement under section 19.4 and cannot be reduced by changes under section 16.

9.7 Activation continuity. If the Licensor discontinues the Software or the activation service, it provides a final update or tool that removes the activation requirement for all existing licences, so that installation and recovery remain possible without the Licensor.

10. Updates and support

10.1 The Licensor may provide updates for the Community Edition without obligation. For paid Editions, the Licensor provides updates during the Update period.

10.2 Community support is provided through community channels without guaranteed response times. Support for paid Editions follows the Edition description. Service levels apply only if agreed in writing.

10.3 The Licensee decides when to install updates, including automatic updates within a maintenance window. Security fixes are provided for the latest released version.

10.4 The Licensor does not guarantee that future updates are compatible with the Licensee’s existing infrastructure.

11. Data protection and data

11.1 The Software runs on the Licensee’s infrastructure. The Licensor has no access to data processed by the Licensee’s instance. The Licensee is the controller for its own data and that of its Customers.

11.2 Once a day, each instance sends an instance pulse to license.vesana.org. It contains only numbers, fixed terms and timestamps: instance identifier, hostname, version, server address, installation date and migration level; kernel and architecture, time zone and interface language; Edition, whether a tester licence is used and whether a key is set in the configuration; the certificate mode; the numbers of Hosts and checks (by mode), agents and collectors (online and total), the oldest agent version, whether an active collector runs, and the numbers of Tenants and accounts; the time of the most recent login and the number of accounts that logged in within seven days. It never contains device or Tenant names, check configurations, measurements, log texts or user accounts. The pulse can be disabled with VESANA_PULSE=off; the update check is not affected.

11.3 Update checks and licence retrieval send the instance ID, the Licence key and the installed version. Further outbound connections (map tiles, internet line measurement, AI providers, notification services) are described in the documentation under “Privacy & outbound connections”.

11.4 If the Licensee connects an external AI provider or MCP client, data is transferred to that provider under the Licensee’s responsibility and the provider’s terms.

11.5 Feedback and support bundles are sent only when a user explicitly submits them. Feedback (text, screenshots, the sender’s name and user name) is stored by the Licensor in a private issue tracker. The feedback text may also be published in the Licensor’s public community repository, without name, user name or screenshots. Support bundles contain diagnostic data of the instance without passwords, keys or tokens and are used only for support.

11.6 Before the Licensor accesses the Licensee’s systems for support, the parties conclude a data processing agreement under Art. 28 GDPR.

12. Licensee’s responsibilities

The Licensee is responsible for:

  1. operating its instance securely, including updates, access control and credentials;
  2. its backups, including the FIELD_ENCRYPTION_KEY, which is deliberately not part of backups and which the Licensor cannot recover;
  3. having the right to monitor its Customers’ systems and a lawful basis for any personal data processed;
  4. using monitoring as an aid, not as the sole safeguard. The Software is not designed for systems where a failure could cause death, injury or severe environmental damage.

13. Warranty

13.1 The Community Edition is provided “as is”, without warranty, to the extent permitted by law.

13.2 For paid Editions, the Licensor warrants that the Software substantially conforms to its documentation. The Licensee reports defects in writing with a reproducible description. The Licensor remedies them within a reasonable time by a fix, a workaround or an update. If a remedy fails twice, the Licensee may terminate the Subscription and receive a pro-rata refund of prepaid fees.

13.3 The Licensor does not warrant that the Software detects every failure, runs without interruption or is free of errors.

14. Liability

14.1 The Licensor is liable without limitation for wilful misconduct and gross negligence (Art. 1229 Italian Civil Code), for death and personal injury, and wherever mandatory law provides.

14.2 Otherwise, for paid Editions, the Licensor’s total liability per calendar year is limited to the fees paid by the Licensee in the 12 months before the event giving rise to the claim.

14.3 Otherwise, for the Community Edition, the Licensor is not liable beyond section 14.1.

14.4 To the extent permitted by law, the Licensor is not liable for indirect or consequential damages, lost profits, loss of data caused by operating errors or missing backups, outages caused by the Licensee’s own infrastructure, or damage caused by failures in monitored systems that the Software did not detect.

14.5 Mandatory rights of Consumers remain unaffected.

15. Term and termination

15.1 This agreement runs for an indefinite period. Paid Subscriptions follow section 8.

15.2 The Licensee may stop using the Software at any time.

15.3 The Licensor may terminate this agreement for a material breach if the breach is not remedied within 30 days of written notice. For circumvention of licence checks (section 7.3), the Licensor may terminate without notice.

15.4 Upon termination under section 15.3, the Licensee stops using and deletes the Software. Sections 7, 9.5, 12 to 14 and 19 survive termination.

15.5 The Licensor may revoke a Licence key after termination under section 15.3 or if payment for it is reversed. The revocation takes effect when the instance next contacts the Licensor’s servers; section 5.6 then applies.

16. Changes to this agreement

16.1 New versions of this agreement are published at vesana.org/license with version number and date.

16.2 A new version applies only once the Licensee accepts it in the Software, for example after an update. Until then, the previously accepted version applies.

16.3 For paid Subscriptions, changes to the Licensee’s disadvantage require 90 days’ notice, and the Licensee may cancel. Section 9 cannot be reduced.

17. Third-party components

The Software contains open source components licensed under their own terms, listed in the third-party notices supplied with the Software. For those components, their own terms prevail.

18. Sanctions and export control

The Licensee complies with applicable sanctions and export control laws and does not use or provide the Software in breach of them.

19. Final provisions

19.1 This agreement is governed by Italian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules.

19.2 For Business users, the courts of Bolzano/Bozen, Italy, have exclusive jurisdiction. For Consumers, the mandatory jurisdiction of their place of residence applies.

19.3 The English version is binding. Translations are provided for convenience only.

19.4 The Licensor may transfer this agreement to a company founded or controlled by the Licensor. The commitments in section 9 are transferred with it. The Licensee may transfer this agreement only with the Licensor’s written consent, which may not be unreasonably withheld for a merger or sale of the Licensee’s business.

19.5 Notices are sent by email: to the Licensor at hello@vesana.org, to the Licensee at the address stored in the Software or in the order.

19.6 If a provision is invalid, the rest of this agreement remains valid, and the invalid provision is replaced by a valid one that comes closest to its purpose.

19.7 This agreement is the entire agreement on its subject. Changes and side agreements require text form; email suffices.

Specific approval (Art. 1341 and 1342 Italian Civil Code)

The Licensee specifically approves the following clauses: 4.1 (one instance per Licence key), 4.5 (activation), 5.4 (changes to Community limits), 5.5 (one Community instance per organisation), 5.6 (pausing Hosts above the limit), 7 (restrictions), 8.3 (automatic renewal), 8.5 (end of the Update period), 10.4 (no compatibility guarantee), 13 (warranty), 14 (liability), 15.3 (termination by the Licensor), 15.5 (revocation), 16 (changes to this agreement), 19.2 (jurisdiction), 19.4 (transfer).
